General terms and conditions of sale

This is a translation for information. The French version is the binding one: conditions générales de vente.

1. Parties and scope

These terms govern every service sold by Alliance Capital SAS, registered in France under company number 994 264 703, based in Villeurbanne. Placing an order implies full acceptance of these terms.

2. Prices, VAT and invoicing

All prices are shown in euros including French VAT at 20 %. Prices in other currencies are indicative conversions; payment is taken in euros. An invoice is issued for every payment and filed in the client area.

3. Payment and access

Services are payable in advance. Payment immediately unlocks the digital tools purchased and starts the agreed delivery time for analysis or drafting work.

4. No refund

A service that has been paid for is not refunded. Digital content is delivered immediately and analysis time is committed as soon as the order is placed. Clients are invited to ask every question before ordering. Statutory rights that cannot be waived remain unaffected.

5. Right of withdrawal on digital content

For digital content supplied immediately, the client expressly requests performance before the end of the withdrawal period and acknowledges losing the right of withdrawal once access is opened, in accordance with French consumer law.

6. Appointments

An appointment may be rescheduled free of charge up to 48 hours before the slot. An appointment not attended, or cancelled less than 48 hours in advance, is treated as delivered and remains payable. Arriving more than 15 minutes late shortens the session without extension.

7. Cancellation by Alliance Capital

If Alliance Capital cancels an appointment, a new slot is offered sooner than the original wait, or an equivalent service is provided, at the client's choice. If no solution suits the client, that appointment is refunded.

8. Client obligations

The client provides accurate, complete and lawful information and documents. Alliance Capital cannot be held liable for consequences of inaccurate, incomplete or late information.

9. Intellectual property

Templates, guides, tools, questionnaires, the barometer methodology and every document supplied remain the property of Alliance Capital. They are licensed for the client's own internal use only. Resale, sharing, publication, redistribution and use for training artificial-intelligence systems are prohibited.

10. Confidentiality

Alliance Capital keeps every document and piece of information received strictly confidential and uses it only to perform the assignment.

11. No funding guarantee

Alliance Capital provides an obligation of means, not of result. No funding decision can be guaranteed. What is guaranteed is the quality, consistency and completeness of the file presented.

12. Liability

Alliance Capital's liability is limited to the amount paid for the service concerned and excludes indirect loss such as loss of subsidy, profit or opportunity.

13. Force majeure

Neither party is liable for failure caused by an event of force majeure as defined by French law.

14. Personal data

Personal data is processed in accordance with the GDPR, as described in the privacy policy.

15. Mediation and applicable law

Consumers may use a consumer mediator after a written complaint. These terms are governed by French law and, failing amicable settlement, French courts have jurisdiction.
